SEATTLE NUMISMATIC SOCIETY BYLAWS
ARTICLE I. ORGANIZATION
This organization shall be known as the SEATTLE NUMISMATIC SOCIETY.
ARTICLE II. OBJECTIVE
This organization is formed for the
mutual benefit of its members. Each member will exert every effort towards the
advancement of numismatics, and towards making the organization a success by obtaining new members.
ARTICLE III. MEMBERSHIP
Section 1.
(a) All applications for membership will be made on
a form furnished by the secretary and will state the applicant’s name, address,
telephone number, email address, age (if a minor), date of application,
collecting interest, and a statement “Applicant understands that membership is a
privilege and may be denied or revoked for any reason,” and will be accompanied
by the membership fee. The secretary will publish the applicant’s name in the
following club newsletter for possible challenges. If no challenge is made, the
application will be accepted as of the next meeting following publication. If a
challenge is made the application will be held in abeyance until the challenge
is resolved. The secretary will try to resolve the matter informally; if
unsuccessful, the matter will be brought to a vote of the general membership.
(b) If an applicant is a former member whose membership has been revoked in the
past, a meeting of the board will decide whether or not reinstatement will be
considered. If a majority of the board votes against reinstatement, the
application will be immediately denied. If the board votes for reinstatement,
the application process will proceed as described above.
Section 2. When an application is accepted, the membership will take effect immediately.
Section 3. Classes of membership will be:
a) Regular member
(may include minors; voting)
b) Junior member (17 and under; no dues,
non-voting)
c) Life member (upon payment of 20x annual dues; voting)
d) Honorary
life member (voting)
e) Honorary member (temporary member for one year;
non-voting)
f) Family membership (spouses or partners and minor children in
their home; adults voting)
Section 4. Any person who has rendered service to the club
over a period of many years may be elected to honorary life membership by a
two-thirds vote of the members attending any regular meeting. This honor shall
be seldom awarded.
Section 5. Any person who has rendered signal service to the
science of numismatics may be elected to honorary membership by a two-thirds
vote of the members attending any regular meeting.
ARTICLE IV. OFFICERS and THEIR DUTIES
Section 1. The elective officers of the organization will be
president, vice-president, secretary, treasurer, and three board members. These
will constitute the executive board.
Section 2. All officers will be elected to one term of office.
A term of office will be defined as two years.
Section 3. The PRESIDENT will preside at all meetings and be
an ex-officio member of all committees. In his absence, the duty will fall on
the officers in the order named in Section 1.
Section 4. The VICE-PRESIDENT will be responsible for program
content at the meetings, and for the conduct of drawings at the meetings.
Section 5. The SECRETARY will keep a written record of all
transactions and report the minutes of all meetings, and in addition act as
publicity chair.
Section 6. The TREASURER will receive and disburse all monies,
and provide, when called upon by the president, a report that will include all
monies received, disbursed, and presently held in all accounts.
Section 7. All officers will be elected by a majority vote at
the annual meeting in November of each even- numbered year.
Section 8. All elected officers will be inducted into office
and assume their duties and responsibilities with the January meeting following election.
Section 9. Except as otherwise provided in these bylaws, the
activities of the corporation will be managed by the executive board. The quorum
for the board will be a majority of the members thereof. In the event of a tie
vote, the officer presiding at the meeting will cast the deciding vote.
Section.10. The board need not meet more than once per term.
It may meet more often, upon reasonable notice, if the president so orders or if
a majority of the members so request.
Section 11. If any office becomes vacant during a term, the
remaining board members will select a replacement from the membership who will
serve the remainder of the term.
ARTICLE V. INITIATION and DUES
Section 1. Annual dues will be reviewed and established by the
executive board prior to each January meeting. Any increase in dues will require
a two-thirds vote of the executive board.
Section 2. All regular dues will be payable January 1st of each year.
Section 3. Members two months (March 1) in arrears for dues
will be dropped from the roll. Any member dropped for nonpayment of dues may be
reinstated within a period of two years and retain the original membership
number upon payment of all dues in arrears, provided that no charges are pending
against said member. After a lapse of two years, application for membership must
be made in the usual manner and a new number issued.
Section 4. A member not in good standing may not serve in any
official capacity or on any committee.
Section 5. No dues shall be assessed honorary, honorary life,
or junior members.
Section 6. In case a membership application is rejected, the
dues shall be returned.
ARTICLE VI. GENERAL LAWS and REGULATIONS
Section 1. This club is formed for the mutual benefit of its
members; each member will exert every effort to make it a success by obtaining
new members and by advancing the interests of the organization and the study of numismatics.
Section 2. No member will incur any expense in the name of the
club except the president, secretary, and the newsletter editor, who may incur
any necessary expense for postage, printing, supplies, or stationery to perform
their duties.
Section 3. All officers at the expiration of their terms of
office will deliver to their successors all books, papers, monies, or other
property of the club in their possession.
Section 4. A club newsletter will be published periodically.
Section 5. For any action at a meeting of the general
membership, a quorum will be those voting members in attendance at a regularly
scheduled meeting.
ARTICLE VII. AMENDMENTS
Section 1. These bylaws may be altered or amended by the
consent of two-thirds of the members voting on such alteration or amendment,
provided that the proposed change has been read and discussed at two successive
regular meetings in advance of voting. The proposed change will be mailed to
every member (in good standing) of the club at the last known address, with due
notice of the date on which a final vote will be taken.
Section 2. All amendments will go into effect immediately upon passage.
